WASHINGTON -- Ford Motor Co. said negotiations with its largest supplier, former subsidiary Visteon Corp., may result in a deal that would bring a "significant non-cash charge" to Ford in the fourth quarter.

In a filing with the Securities and Exchange Commission on Tuesday, Ford said that the conclusion of the negotiations "could be imminent."

In an earlier filing, Ford Motor Credit said the talks could modify some of the terms of Visteon’s spinoff, including Visteon’s obligations to the Ford hourly employees assigned to Visteon.

Visteon was spun off to Ford’s stockholders in June 2000.

Ford Motor Credit said the negotiations were designed to improve the competitiveness of Visteon, "which will ultimately benefit (Ford) in the form of more competitive components and systems purchased from Visteon."

Shares of Dearborn, Mich.-based Ford were at $14.29 in early trading Wednesday, down 6 cents on the New York Stock Exchange.
